TERMS & CONDITIONS
THE AGREEMENT: The use of this website and products on this website provided by Project Maybe (hereinafter referred to as "Company") are subject to the following Terms & Conditions (hereinafter the "Agreement"), all parts and sub-parts of which are specifically incorporated by reference here. This Agreement shall govern the use of all pages on this website (hereinafter collectively referred to as "Website") and any digital artworks and collectibles provided by or on this Website ("NFTs").
The parties referred to in this Agreement shall be defined as follows:
- Company, Us, We: The Company, as the creator, operator, and publisher of the Website, makes the Website, and certain NFTs on it, available to users. Company, Us, We, Our, Ours, and other first-person pronouns will refer to the Company, as well as all employees and affiliates of the Company.
- You, the User, the Client: You, as the user of the Website, will be referred to throughout this Agreement with second-person pronouns such as You, Your, Yours, or as User or Client.
- Parties: Collectively, the parties to this Agreement (the Company and You) will be referred to as Parties.
- Wallet: refers to an application that allows users to register a unique identifier, to use such unique identifier to access and interact with the Ethereum Network, and (subject to any technological restraint), to manage information (including any form of cryptographic asset) that is attributable to that unique identifier (including, for example, transferring any info).
- NFT: each, an identifiable, non-fungible, non-replicable and transferrable cryptographic asset recorded on the Ethereum Network, used as proof of authenticity and proof of ownership over certain rights (as set out in these Terms) vested in the Holders.
- Holder: refers to the holder of an NFT
- Mint: refers to the successful submission of a request through an eligible Wallet, for the creation of a new block of information on a distributed ledger (the Ethereum Network), to a self-executing software (the Smart Contract), for the purposes of creating a new NFT recorded against the unique identifier of the Wallet from which the request is submitted.
- ASSENT & ACCEPTANCE
By using the Website, You warrant that You have read and reviewed this Agreement and that You agree to be bound by it. If You do not agree to be bound by this Agreement, please leave the Website immediately. The Company only agrees to provide use of this Website and NFTs to You if You assent to this Agreement.
You must be at least 18 (eighteen) years of age to use this Website or any NFTs contained herein. By using this Website, You represent and warrant that You are at least 18 years of age and may legally agree to this Agreement. The Company assumes no responsibility or liability for any misrepresentation of Your age.
Project Maybe is a collection of digital artworks (NFTs), with varying degrees of rarity. This Website is only an interface allowing participants to purchase digital collectibles. Users are entirely responsible for the safety and management of their own private wallets and for validating all transactions and contracts generated by this Website before approval. Furthermore, as the Project Maybe smart contract runs on the Ethereum network, there is no ability to undo, reverse, or restore any transactions.
- THE $HIGGS TOKEN
The main utility token associated with our ecosystem is $HIGGS. NFT holders can stake and be rewarded $HIGGS. They can use $HIGGS for various planned utilities within the ecosystem, like breeding NFTs, evolving Project Maybe, metaverse access, etc. With these utilities, $HIGGS is deflationary as we are constantly burning or recirculating $HIGGS.
The $HIGGS tokens are not a security, commodity, or any other kind of financial instrument and have not been registered under the securities laws of any country, including the securities laws of any jurisdiction in which a potential token holder is a resident.
We want to create a fair ecosystem where everyone can enjoy the utilities. Besides holding as many Project Maybe as possible, we want to provide an opportunity for holders of less Project Maybe to swap for $HIGGS using $USDC. As a result, an initial pool of the mint fund and $HIGGS is committed to setting up a $HIGGS/$USDC Liquidity Pool.
$HIGGS is allocated across different areas: staking, team (2 years monthly vesting), liquidity pool setup, marketing, future development, and liquidity pool rewards. For a more detailed description of the utility of the $HIGGS token, as well as its tokenomics, please consult our Whitepaper.
- INITIAL SALE
Accessing the Website during the Initial Sale will provide you with the ability to purchase the right to Mint one or more NFTs. Please note that once deployed, we have no control over the Smart Contract, nor over the Gas Fees you would incur when submitting your request to Mint the NFT/s to the network.
Payment for the right to Mint is made in ETH (being the cryptographic currency on the Ethereum Network). Therefore, please be aware that transactions in cryptographic currency may be irreversible and that, accordingly, funds paid to an incorrect recipient may not be recoverable.
- TRANSFER OF RIGHTS AND LICENSE
The Project Maybe collection is built on the Ethereum blockchain. When you purchase an NFT, we transfer you the ownership of the underlying NFT completely. Ownership of the NFT is mediated entirely by the Smart Contract and the Ethereum Network: at no point may we seize, freeze, or otherwise modify the ownership of any NFTs.
Subject to your continued compliance with these Terms, we grant you a worldwide, royalty-free license to use, copy, and display the purchased art, along with any extensions that you choose to create or use, solely for the following purposes: (i) for your own personal, non-commercial use; (ii) as part of a marketplace that permits the purchase and sale of your NFT, provided that the marketplace cryptographically verifies each NFT owner’s rights to display the art for their NFT to ensure that only the actual owner can display the art; or (iii) as part of a third-party website or application that permits the inclusion, involvement, or participation of your NFT, provided that the website/application cryptographically verifies each NFT owner’s rights to display the art for their NFT to ensure that only the actual owner can display the art, and provided that the Art is no longer visible once the owner of the NFT leaves the website/application.
Subject to your continued compliance with these Terms, we grant you an unlimited, worldwide license to use, copy, and display the purchased art for the purpose of creating derivative works based upon the art (“Commercial Use”). Examples of such Commercial Use would e.g. be the use of the art to produce and sell merchandise products (T-Shirts etc.) displaying copies of the art. For the sake of clarity, nothing in this Section will be deemed to restrict you from (i) owning or operating a marketplace that permits the use and sale of NFTs generally, provided that the marketplace cryptographically verifies each NFT owner’s rights to display the art for their NFT to ensure that only the actual owner can display the art; (ii) owning or operating a third party website or application that permits the inclusion, involvement, or participation of Project Maybe generally, provided that the third party website or application cryptographically verifies each NFT owner’s rights to display the art for their NFT to ensure that only the actual owner can display the art, and provided that the art is no longer visible once the owner of the purchased NFT leaves the website/application; or (iii) earning revenue from any of the foregoing.
- COMPANY’S INTELLECTUAL PROPERTY
Other than the rights to the particular NFT, nothing herein gives you any rights to any other trademarks or other intellectual property rights belonging to Project Maybe, including, without limitation to, Project Maybe and the associated logos ("Company IP"). All of these rights are expressly reserved in the name of Project Maybe. You agree that the Company owns all rights, title, and interest in and to the Company IP and that You will not use the Company IP for any unlawful or infringing purpose. You agree not to reproduce or distribute the Company IP in any way, including electronically or via registration of any new trademarks, trade names, product marks, or Uniform Resource Locators (URLs), without express written permission from the Company.
- ACCEPTABLE USE
You agree not to use the Website or NFTs for any unlawful purpose or any purpose prohibited under this clause. You agree not to use the Website or NFTs in any way that could damage the Website or the general business of the Company.
You further agree not to use the Website:

- FEES AND PAYMENT
If you elect to purchase an NFT through the site, any financial transactions that you engage in will be conducted solely through the Ethereum network. We will have no insight into or control over these payments or transactions, nor do we have the ability to reverse any transactions. We will have no liability to you or any third party for any claims or damages that may arise as a result of any transactions you engage in or any other transactions you conduct via the Ethereum network.
Ethereum requires the payment of a transaction fee (a “Gas Fee”) for every transaction that occurs on the Ethereum network. The Gas Fee funds the network of computers that run the decentralized Ethereum network. This means that you will need to pay a Gas Fee for each transaction.
